01Agreement to These Terms
The website at winter.inc is owned and operated by Winter Inc. ("Winter," "we," "us," "our"). These Terms govern use of this website (the "Site") only. They do not govern any engagement, statement of work, or agreement between Winter and a client, which is governed by a separately signed contract. By using the Site, you agree to these Terms on your own behalf or on behalf of the organization you represent. You must be at least 18 to use the Site.
If you're a client working with Winter Squad, these Terms don't apply to that engagement — your Master Services Agreement does.
02License and Restrictions
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site. You may not scrape or republish content at scale, reverse-engineer any part of the Site, use it to build a competing product, or remove ownership notices from anything you're permitted to copy.
03Ownership
All content, trademarks, and IP on the Site — including, but not limited to, "Winter," "The Protean," "The Winter Loop," "Winter Squad," and other related marks — belong to Winter or its licensors. Nothing here transfers ownership to you.
04Feedback
Feedback you send us becomes ours to use however we want, royalty-free, without attribution.
05Content Disclaimer
Our research, case studies, methodology descriptions, and any statistics or projections published on this Site — including figures marked illustrative — are commentary, not guarantees of client results, and not professional, legal, or financial advice.
06Third-Party Services
The Site may link to third-party sites and services we do not control and are not responsible for.
07Disclaimers
The Site is provided "as is" and "as available," without warranty of uninterrupted or error-free operation, to the fullest extent permitted by law.
08Limitation of Liability
To the fullest extent permitted by law, Winter Inc. and its suppliers are not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits or lost data — arising from or related to these Terms or use of, or inability to use, the Site, whether the claim is based in contract, tort, or otherwise. Winter's total liability for all claims under these Terms is capped at fifty United States dollars, regardless of how many claims are brought. Some jurisdictions do not permit the exclusion or limitation of certain damages, so parts of this limitation may not apply to you.
These Terms cover the Site only. If Winter has a separate signed agreement with your organization for services, that agreement — not these Terms — governs liability for that engagement.
09Indemnification
You agree to indemnify Winter against claims arising from your misuse of the Site or violation of these Terms.
10Term and Termination
Winter may suspend or terminate access at any time. Ownership, disclaimers, liability, and dispute-resolution provisions survive termination.
11Dispute Resolution and Governing Law
These Terms, and any dispute arising from or related to them or your use of the Site, are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. You and Winter each consent to the exclusive jurisdiction and venue of the state and federal courts located in Tarrant County, Texas for any dispute not resolved otherwise.
12State-Specific Notices
California Residents: Under California Civil Code Section 1789.3, you are entitled to know that the provider of this Site is Winter Inc., 1560 E Southlake Blvd, Southlake, TX 76092. To file a complaint or request further information, write to that address or to legal@winter.inc. You may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 N. Residents of other states with comprehensive consumer privacy laws — including Colorado, Connecticut, Virginia, Utah, Oregon, and Texas — may hold rights of access, correction, deletion, and portability, and rights to opt out of targeted advertising, sale, and certain profiling. Our Privacy Policy explains how to exercise any rights that apply to you.
Nevada residents may direct us not to sell certain covered information under Nevada Revised Statutes Chapter 603A. Our Privacy Policy explains how to submit that request.
13General
Winter may update these Terms at any time; continued use of the Site after a change means you accept the update. These Terms, together with the Privacy Policy, are the entire agreement between you and Winter regarding the Site. If any provision is found invalid, the rest remains in effect. You may not assign these Terms without Winter's written consent. By using the Site, you consent to receiving notices from us electronically.

Privacy Policy
01Executive Summary
Winter Inc. runs this website (the "Site"). When you fill out a form, subscribe to our content, apply for a role, or email us, we collect what you give us and use it to respond, deliver what you asked for, and run the Site. We do not sell your personal information. This notice covers your interactions with our website and marketing. It does not cover personal information Winter processes on behalf of clients during an engagement; that's governed by the Master Services Agreement and Data Processing Addendum for that engagement.

03What We Collect
We collect personal information you provide directly to us, including, but not limited to, your name, work email address, company, and role, when you fill out a contact form, subscribe to our newsletter or Substack, or sign up for an event. If you apply for a role at Winter, your application is handled through our hiring site, which has its own separate privacy notice.
We also collect certain information automatically when you visit our website, including, but not limited to, your IP address, browser type, pages requested, referring URL, and timestamp, as well as cookies.
04How We Use It
We use the information collected to respond to your inquiries; deliver content or services you requested; operate and secure the Site; understand what content performs, where you've consented to analytics; and meet legal obligations.
05Legal Bases
If you are located in the European Economic Area, the United Kingdom, or Switzerland, our legal basis for processing your personal information depends on the specific information and the context in which we collected it. We rely on the following:
Legitimate interest — to respond to inquiries you send us, operate and secure our website, and pursue business conversations you initiate with us.
Consent — for non-essential cookies and analytics, and for marketing communications.
Performance of a contract, or steps taken at your request before entering one — where your engagement with Winter leads to a client relationship.
Legal obligation — where we're required by law to collect, retain, or disclose information.
06International Transfers
Winter has team members and operations in the United States, India, and the Cayman Islands. Information we collect may be transferred to, stored, and processed in any of these locations, which may have data protection laws different from those in your home jurisdiction.
If you are located in the European Economic Area, the United Kingdom, or Switzerland, we rely on appropriate safeguards for transfers of your personal information outside those regions, such as the European Commission's Standard Contractual Clauses.
07Retention
We retain personal information only for as long as necessary to fulfill the purposes described in this policy. Once that purpose has been fulfilled, we delete or anonymize the information, except where a longer retention period is required to meet our legal obligations.

10Age Restriction
This website is built for business professionals and is not directed at children. We do not knowingly collect personal information from anyone under 18. If we learn that we've collected personal information from someone under 18, we will delete it. If you believe a minor has provided us with personal information, please contact us at legal@winter.inc.
11Browser Signals
Most web browsers include a Do Not Track setting that lets you signal a preference not to have your online activity monitored. However, because no common industry standard for recognizing and responding to these signals currently exists, we do not respond to Do Not Track signals. If a recognized standard is adopted in the future, we will update this policy accordingly.
12Changes to This Notice
We may update this notice. We'll revise the date at the top of this page, and if a change materially affects how we handle your information, we'll notify you directly.
